SonicWall API and Plugin Addendum to the General Product Agreement
This SonicWall API and Plugin Addendum (the “API and Plugin Addendum”) to the General Product Agreement (the “Agreement”) is made between you (“Customer” or “You”) and SonicWall, as defined below.
BY DOWNLOADING, INSTALLING OR USING AN API OR PLUGIN PROVIDED BY SONICWALL, YOU ACCEPT AND AGREE TO THE TERMS AND CONDITIONS OF THE AGREEMENT AND THIS ADDENDUM. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS OF THE AGREEMENT OR THIS ADDENDUM, DO NOT DOWNLOAD, INSTALL, ACCESS OR USE THE API OR PLUGIN.
The Agreement is incorporated into this API and Plugin Addendum by this reference thereto. Except as otherwise provided in this API and Plugin Addendum, if any provision contained in this API and Plugin Addendum is in conflict with, or inconsistent with, any provision in the Agreement, the provision contained in this API and Plugin Addendum shall govern and control.
SonicWall may modify this API and Plugin Addendum at any time, and if you do not agree with the modification, you must cease use of the API or Plug-in. Your continued use constitutes your acceptance of the modified API and Plugin Addendum.
1. DEFINITIONS
Capitalized terms used but not defined herein shall have the meanings ascribed to them in the Agreement to which this API and Plugin Addendum is attached.
“Application Programming Interface” or “API” is Software that is comprised of any machine accessible application interface that SonicWall makes available and that provides access to or enables integrations with, a SonicWall Product, including, data structures, object classes, protocols, programs, templates, libraries and interfaces, application programming interfaces, software development kits, developer tools, technical documentation, updates, and other related materials.
“Customer Applications” means any applications developed by You that utilize a SonicWall API or Plugin for the purpose of accessing, interacting, or integrating with a SonicWall Product.
“Plugin” is a Software provided by Sonicwall that adds a specific feature to a Customer Application, including any upgrades that SonicWall may provide from time to time.
“Product” has the same definition as in the Agreement.
“Software” has the same definition as in the Agreement and includes, for purposes of this API and Plugin Addendum, APIs and Plugins.
2. LICENSE GRANT
2.1 Grant. Subject to the terms and conditions of this API and Plugin Addendum, SonicWall grants Customer a worldwide, non-exclusive, non-transferable, non-sublicensable, revocable, royalty-free license to use and make calls to the APIs or to download, install, and use the Plugins solely in accordance with the Agreement and for the sole purpose of: (a) facilitating the interoperability of the Sonicwall Product(s) and the Customer Applications; (b) developing, implementing, and distributing the Customer Application that interoperates, communicates, or interacts with the SonicWall Product; and (c) transmitting and displaying data received from the APIs within the Customer Application. There are no implied licenses granted under this API and Plugin Addendum and SonicWall reserves all rights that are not expressly granted. You may not use the SonicWall APIs or Plugins for any other purpose without our prior written consent.
2.2 MySonicWall User and Credentials. In order to use and access the APIs and/or Plugins, Customer must be a registered MySonicWall user and must obtain credentials (“Credentials”) from SonicWall, which may take the form of a user name, password, a key, or other information. Customer may not share or disclose its Credentials with any third party, must keep such Credentials and all login information secure, and must use the Credentials as its sole means of accessing the APIs and/or Plugins. Customer is responsible for maintaining the secrecy and security of the Credentials and is solely responsible for all activities that occur using the Credentials, regardless of whether such activities are undertaken by Customer or a third party. SonicWall may revoke Your Credentials at any time.
2.3 Monitoring. YOU AGREE THAT SONICWALL MAY MONITOR YOUR USE OF THE API OR PLUGIN TO ENSURE QUALITY, IMPROVE SONICWALL PRODUCTS, OR CONFIRM YOUR COMPLIANCE WITH THIS ADDENDUM OR ANY OTHER SONICWALL AGREEMENT. You will not interfere with this monitoring and will provide SonicWall reasonable information to aid SonicWall in its monitoring activities. If you interfere with monitoring, SonicWall may use any means to overcome such interference. At any time, in SonicWall’s reasonable discretion, SonicWall may suspend your access to the API or Plugin without notice. Sonicwall may, in its discretion, assign you a unique tracking ID (or some other tracking mechanism) (the “Tracking ID”). The Tracking ID is used to validate your use and to assist in tracking activity. Upon our request, you must include the Tracking ID (or other tracking mechanism) in each call made to SonicWall.
2.4 Compliance with Laws and Third Party Rights. When using the API or Plugin or otherwise accessing or interacting with SonicWall Products, you will comply with all applicable laws, rules, regulations, and third party rights (including, without limitation, laws regarding the import or export of data, software, and privacy) (“Applicable Laws”). You will not use the API or Plugin to encourage or promote illegal activity, breach of this License, breach of Applicable Laws or violation of third party rights. You will notify SonicWall promptly if you become aware of any actual or alleged violation of Applicable Laws that relate to use of the API or Plugin.
2.5 Ownership. As between SonicWall and You, SonicWall retains all right, title, and interest, including all intellectual property rights, in and to the APIs and/or Plugins, including all improvements, enhancements, modifications, derivative works, logos, and trademarks.
2.6 Open Source Code. Some of the software related to the API or Plugin may be offered under an open source license. Open source software licenses constitute separate written agreements. For certain APIs or Plugins, open source software is listed in the documentation. To the limited extent that the open source software license expressly supersedes this Addendum, the open source license sets forth your rights with respect to that limited open source license provision.
2.7 Feedback. You may provide suggestions, enhancement or feature requests, or other feedback to SonicWall with respect to the APIs and/or Plugins (“Feedback”). If You provide Feedback, SonicWall may use the Feedback without restriction and without paying any compensation to You.
3. LICENSE RESTRICTIONS
3.1 Restrictions. Except as specifically permitted in this API and Plugin Addendum or the Agreement, Customer will not (and will not allow anyone else or a third party to:
(a) sublicense, resell, distribute, market, commercialize, or otherwise transfer rights to, or usage of, all or any portion of the APIs and/or Plugins, or provide the APIs and/or Plugins on a timesharing, service bureau, or other similar basis;
(b) copy, modify, adapt, translate, create derivative works of, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of, any part of the APIs and/or Plugins;
(c) remove, alter, or obscure any SonicWall terms of use or polices or links to such terms or policies contained in or affixed to the APIs and/or Plugins;
(d) use the APIs and/or Plugins to disrupt, interfere with, or attempt to gain unauthorized access to services, servers, devices, or networks connected to or which may be accessed via the APIs and/or Plugins;
(e) attempt to disrupt, degrade, impair, or violate the integrity, security, or performance of the APIs and/or Plugins, SonicWall Products, or anyone’s use of any APIs and Plugins or SonicWall Products, including, without limitation, by executing any form of network monitoring;
(f) use the APIs and/or Plugins to introduce any viruses, worms, defects, malware, or other items designed to permit unauthorized access, to disable, erase or otherwise harm or disrupt software, hardware, or data, or to perform any other harmful actions;
(g) disable or circumvent any use limitations or monitoring mechanism related to the APIs and/or Plugins;
(h) access or use the APIs and/or Plugins in a manner that violates applicable law or regulation, infringes third party rights, or violates the terms and conditions of this API and Plugin Addendum or the Agreement;
(i) use the APIs and/or Plugins to monitor the availability, performance, or functionality of any of the APIs and/or Plugins or other SonicWall Products for any similar benchmarking purposes; or
(j) combine or integrate the APIs and/or Plugins with any other software, technology, services, or materials not authorized by SonicWall.
3.2 Limitations. SonicWall may limit: (a) the number and/or frequency of API calls and/or Plugin requests; or (b) any use of the APIs and/or Plugins that could damage, disable, overburden, impair or otherwise interfere with SonicWall Products. SonicWall may temporarily suspend Your access to the APIs and/or Plugins if You exceed these Limitations. You may not attempt to circumvent such Limitations.
4. WARRANTY DISCLAIMERS
THE APIs AND/OR PLUGINS ARE PROVIDED “AS IS” WITHOUT ANY SUPPORT, INDEMNITY, LIABILITY OR REMEDY OF ANY KIND. TO THE EXTENT ALLOWED BY APPLICABLE LAW, SONICWALL EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY, CONDITION, OR OTHER IMPLIED TERM AS TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF USE OF APIS AND/OR PLUGINS. SONICWALL DOES NOT WARRANT THAT THE API OR PLUGINS WILL BE ERROR-FREE OR USE WILL BE UNINTERRUPTED OR COMPLETELY SECURE. SONICWALL RESERVES THE RIGHT, AT ANY TIME, TO REPLACE, MODIFY OR DISCONTINUE THE API OR PLUGINS. In addition, SonicWall makes no representations or warranties regarding the integrity of data that You transmit, transfer, store, obtain or receive through use of the APIs and/or Plugins. You assume all risk arising from, and are solely liable for, any access or use of the APIs and/or Plugins, including, without limitation, the risk of damage to Your computer system, network and Customer Applications; the loss or corruption of data; and compliance with all applicable laws and regulations (including laws and regulations related to privacy and data protection).
5. TERM AND TERMINATION
5.1 Term. This API and Plugin Addendum will commence on the date You initially access or use the APIs and/or Plugins and will continue unless terminated in accordance with the sections below.
5.2 Termination. SonicWall may terminate this API and Plugin Addendum Agreement and/or your access and/or use of the APIs and/or Plugins at any time for any reason. You may terminate the API and Plugin Addendum at any time by ceasing to access or use of the APIs or Plugins and disabling ability to access and use the APIs and/or Plugins. Notwithstanding the foregoing, SonicWall may terminate this API and Plugin Addendum immediately upon written notice if You breach this API and Plugin Addendum.
6. GENERAL
6.1 Support; Updates. This API and Plugin Addendum does not entitle You to any support for the APIs or Plugins. You acknowledge that we may update or modify any API or Plugin from time to time and at our sole discretion (in each instance, an “Update”), and may require you to obtain and use the most recent version. You are required to make any changes to Customer Applications that are required for integration as a result of such Updates at your sole cost and expense.
6.2 Collection and Use of Your Information. We may collect certain information through the APIs or Plugins about You or your personnel. By accessing, using, and providing information to or through any APIs or Plugins, You consent to all actions taken by us with respect to your information in compliance with the then-current version of our privacy policy and data protection requirements, available at https://www.sonicwall.com/legal/.
6.3 Entire Agreement. This API and Plugin Addendum is the entire agreement between the parties with respect to the APIs and/or Plugins and supersedes all prior or contemporaneous oral or written communications, agreements or representations with respect to the APIs and/or Plugins.
